GreenCORE Hub | GreenCORE Hui, LLC

Effective Date: October 9, 2026

These Terms of Service govern your access to and use of GreenCORE Hub, a digital platform owned and operated by GreenCORE Hui, LLC, and constitute a legally binding agreement between you and GreenCORE Hui, LLC.

A. Acceptance of Terms

1. (a) By accessing, browsing, registering for, or otherwise using GreenCORE Hub (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), as well as any applicable policies incorporated herein by reference, including the GreenCORE Hub Privacy Policy.

2. (b) These Terms apply to all users of the Platform, including individual users, sole proprietors, and business entities accessing the Platform on behalf of an organization. If you are accessing the Platform on behalf of a business or legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

3. (c) You must be at least eighteen (18) years of age to use GreenCORE Hub. If you are under the age of eighteen (18), you may only access the Platform with the documented consent and direct supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

4. (d) GreenCORE Hui, LLC reserves the right to update or modify these Terms at any time. Your continued use of the Platform following the publication of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

5. (e) If you do not agree with any portion of these Terms, you must immediately discontinue all access to and use of GreenCORE Hub. Continued use of the Platform after any modification to the Terms shall constitute your binding acceptance of such modifications.

B. Description of Services

Subscription Tier

Tier 1 — Free/Basic

Entry-Level Access

Provides no-cost access to introductory platform resources, limited tools, and selected community features.

Tier 2 — Standard

Standard Membership

Expanded access to digital media tools, publishing support resources, and a broader library of creative business materials.

Tier 3 — Premium/Coaching

Full Platform Access

Full access to all Platform resources, including live and recorded coaching sessions, premium tools, priority community access, and downloadable content libraries.

C. User Accounts and Responsibilities

6. (a) To access certain features of GreenCORE Hub, you must register for an account. During registration, you agree to provide accurate, current, and complete information, including a valid email address, and to maintain and promptly update such information as necessary to keep it accurate, current, and complete.

7. (b) You are solely responsible for all activity that occurs under your account, including any actions taken by individuals to whom you grant access. You agree to maintain the security and confidentiality of your login credentials at all times.

8. (c) You may not share, transfer, or otherwise permit any other person or entity to access or use your account credentials. Each account is registered to a single individual or authorized entity and may not be used by multiple users or parties.

9. (d) You agree to notify GreenCORE Hui, LLC immediately upon becoming aware of any actual or suspected unauthorized access to or use of your account, or any other security breach, by contacting us at ollie@greencorehui.com.

10. (e) GreenCORE Hui, LLC shall not be liable for any loss, damage, or harm resulting from your failure to safeguard your login credentials or from unauthorized use of your account prior to your notification to us of such unauthorized access. You acknowledge and accept all liability arising from unauthorized activity under your account to the fullest extent permitted by applicable law.

D. Subscription and Payment Terms

11. (a) GreenCORE Hub offers three (3) subscription tiers as described in Section 2 above. Specific pricing for each tier is displayed on the Platform at the time of enrollment and is subject to change in accordance with Section 4(i) below.

12. (b) Paid subscriptions are available on monthly and/or annual billing cycles, as offered on the Platform. All billing and payment processing is administered through Systeme.io's payment infrastructure. By enrolling in a paid subscription, you authorize GreenCORE Hui, LLC and its payment processor to charge your designated payment method for the applicable subscription fees.

13. (c) Auto-Renewal. Paid subscriptions automatically renew at the end of each billing cycle (monthly or annual, as applicable) unless you cancel your subscription prior to the renewal date. By enrolling in a paid subscription, you expressly authorize GreenCORE Hui, LLC to charge your payment method on a recurring basis until you cancel.

14. (d) Cancellation. You may cancel your subscription at any time through your account settings or by submitting a written cancellation request to GreenCORE Hui, LLC. Upon cancellation, your access to the paid tier will continue until the end of the current billing period. No partial-period or pro-rated refunds will be issued for unused portions of a billing cycle following cancellation.

15. (e) Refund Policy. All sales are final. GreenCORE Hui, LLC does not generally offer refunds for subscription fees paid. However, exceptions may be considered on a case-by-case basis within seven (7) calendar days of the original purchase date in cases of documented technical failures directly attributable to GreenCORE Hub that materially prevented access to the Platform. Refund requests must be submitted in writing to ollie@greencorehui.com with supporting documentation. Approval of any refund request is at the sole discretion of GreenCORE Hui, LLC, except where otherwise required by applicable law.

16. (f) Nothing in this Section limits your rights under applicable consumer protection laws in your jurisdiction that may provide for refunds or cancellation rights beyond those described above.

17. (g) Payment Disputes and Chargebacks. Chargebacks, disputes, and payment reversals are handled through Systeme.io's payment processor in accordance with applicable payment network rules. You agree to contact GreenCORE Hui, LLC directly to resolve billing discrepancies before initiating any chargeback with your financial institution.

18. (h) Failed Payments. In the event a payment is declined or fails, GreenCORE Hui, LLC reserves the right to suspend or downgrade your account access until payment is successfully processed. You are responsible for maintaining a valid and current payment method on file.

19. (i) Price Changes. GreenCORE Hui, LLC reserves the right to modify subscription pricing at any time. You will be notified of any price changes via email or Platform notice at least fourteen (14) days before the change takes effect. Continued use of the Platform after the effective date of a price change constitutes your acceptance of the new pricing.

E. User Conduct and Prohibited Activities

20. (a) You agree to use GreenCORE Hub solely for lawful purposes and in a manner consistent with all applicable federal, state, and local laws and regulations, as well as these Terms. You further agree to use the Platform in a respectful and professional manner toward other users, GreenCORE Hub staff, coaches, and contractors.

21. (b) The following activities are expressly prohibited on or in connection with GreenCORE Hub:

○ Reproducing, redistributing, reselling, sublicensing, or otherwise exploiting any proprietary content, tools, curricula, templates, or materials available on the Platform without the prior written authorization of GreenCORE Hui, LLC;

○ Reverse engineering, decompiling, disassembling, scraping, data mining, or otherwise attempting to extract source code, underlying logic, or proprietary information from the Platform or its services;

○ Transmitting unsolicited communications (spam), engaging in harassment, bullying, or intimidation of other users, staff, coaches, or any affiliated parties;

○ Uploading, transmitting, or introducing any malware, viruses, Trojan horses, ransomware, worms, or other harmful, disruptive, or destructive code or content to the Platform;

○ Impersonating GreenCORE Hub, GreenCORE Hui, LLC, its personnel, coaches, contractors, or any other user, or misrepresenting your affiliation with any person or entity;

○ Engaging in any fraudulent, deceptive, or misleading activity in connection with your use of the Platform, including misrepresenting your identity or payment information;

○ Violating any applicable local, state, national, or international law or regulation in connection with your use of the Platform;

○ Interfering with or disrupting the integrity, performance, or security of the Platform or its servers and networks.

22. (c) Violation of any provision of this Section may result in the immediate suspension or permanent termination of your account, without prior notice and without refund of any subscription fees paid. GreenCORE Hui, LLC reserves all rights and remedies available under applicable law in connection with any prohibited conduct.

F. Intellectual Property Rights

23. (a) All content made available on or through GreenCORE Hub — including without limitation text, graphics, images, digital media tools, curricula, coaching materials, templates, training resources, branding elements, logos, trademarks, trade dress, and software — is the exclusive property of GreenCORE Hui, LLC or its respective licensors and is protected by applicable United States copyright, trademark, trade secret, and other intellectual property laws.

24. (b) Subject to your compliance with these Terms and the timely payment of any applicable subscription fees, GreenCORE Hui, LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform content solely for your personal or internal business purposes during the term of your active subscription. This license does not include the right to: sublicense, sell, resell, or transfer the license to any third party; reproduce or distribute Platform content beyond personal or internal business use; create derivative works based on Platform content; or commercially exploit any Platform content in any manner not expressly authorized in writing by GreenCORE Hui, LLC.

25. (c) No right, title, or interest in or to any Platform content or GreenCORE Hui, LLC intellectual property is transferred to you by virtue of these Terms or your use of the Platform. All rights not expressly granted herein are reserved by GreenCORE Hui, LLC.

26. (d) User-Generated Content. You retain ownership of any original content you submit, post, or upload to GreenCORE Hub ("User Content"). By submitting User Content, you grant GreenCORE Hui, LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, distribute, promote, and adapt your User Content within and in connection with the operation and promotion of the Platform. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not infringe the intellectual property or other rights of any third party.

27. (e) DMCA Takedown Procedure. GreenCORE Hui, LLC respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act ("DMCA"). If you believe that any content on GreenCORE Hub infringes your copyright, please submit a written DMCA takedown notice to GreenCORE Hui, LLC at ollie@greencorehui.com, including: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the allegedly infringing material and its location on the Platform; (iii) your contact information; (iv) a statement of good faith belief that the use is not authorized; (v) a statement of accuracy and authorization under penalty of perjury; and (vi) your physical or electronic signature. GreenCORE Hui, LLC will respond to valid DMCA notices in accordance with applicable law.

G. Privacy and Data Handling

28. (a) GreenCORE Hui, LLC collects, processes, and stores personal data provided by users in connection with their use of the Platform, including name, email address, billing information, and Platform usage data. Such data is collected and handled in accordance with GreenCORE Hub's Privacy Policy, which is incorporated herein by reference. www.greencorehui.com/privacy-policy

29. (b) The Platform is built on and operated through Systeme.io's infrastructure. Certain user data is processed through Systeme.io's systems, and Systeme.io's own data handling practices and privacy policy also apply to data processed through their platform. By using GreenCORE Hub, you acknowledge and consent to such processing.

30. (c) GreenCORE Hui, LLC does not sell, rent, or otherwise transfer your personal data to third parties for their own marketing or advertising purposes.

31. (d) You have the right to request access to, correction of, or deletion of your personal data held by GreenCORE Hui, LLC, subject to applicable legal requirements and any retention obligations. Requests should be submitted in writing to

32. (e) GreenCORE Hub may use cookies, web beacons, pixel tags, and similar tracking technologies to enhance user experience, analyze Platform usage, and support the delivery of services. By using the Platform, you consent to the use of such technologies in accordance with GreenCORE Hub's Privacy Policy.

H. Third-Party Services and Integrations

34. (a) GreenCORE Hub relies on Systeme.io as its primary third-party infrastructure provider for payment processing, sales funnel management, membership delivery, and related platform operations. Your use of features powered by Systeme.io is subject to Systeme.io's own Terms of Service and Privacy Policy, in addition to these Terms.

35. (b) GreenCORE Hui, LLC is not responsible for any outages, errors, service interruptions, data loss, security incidents, or changes in terms or functionality arising from or attributable to Systeme.io or any other third-party service provider. GreenCORE Hui, LLC makes no representations or warranties regarding the availability, reliability, or performance of any third-party service.

36. (c) GreenCORE Hub may contain links to external websites, resources, tools, or third-party platforms. The inclusion of any such link does not constitute an endorsement, approval, or recommendation by GreenCORE Hui, LLC of the linked content, products, or services. GreenCORE Hui, LLC has no control over and assumes no responsibility for the content, privacy practices, or terms of any third-party websites or services.

37. (d) Users who interact with third-party services integrated into or linked from GreenCORE Hub do so at their own risk and are solely responsible for reviewing and complying with the applicable terms, policies, and requirements of those third-party services.

I. Disclaimers of Warranties

38. (a) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GREENCORE HUB AND ALL CONTENT, SERVICES, TOOLS, AND MATERIALS MADE AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

39. (b) GREENCORE HUI, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

40. (c) GREENCORE HUI, LLC DOES NOT WARRANT THAT: (i) ACCESS TO THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (ii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE, COMPLETE, OR RELIABLE; (iii) ANY ERRORS OR DEFECTS IN THE PLATFORM WILL BE CORRECTED; OR (iv) THE PLATFORM OR ITS SERVERS ARE FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

41. (d) Coaching sessions, educational programs, creative business resources, and all related content available on GreenCORE Hub are provided for informational and creative business development purposes only. Nothing contained on the Platform constitutes or is intended to constitute professional legal, financial, medical, accounting, tax, or other licensed professional advice. Users are advised to consult qualified professional advisors for guidance specific to their individual circumstances.

42. (e) GreenCORE Hui, LLC makes no guarantee, representation, or warranty regarding specific outcomes, results, or success from participation in any coaching program, curriculum, or use of Platform tools. Individual results will vary based on numerous factors beyond the control of GreenCORE Hui, LLC.

J. Limitation of Liability

43. (a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GREENCORE HUI, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) GREENCORE HUB OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

44. (b) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREENCORE HUI, LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY YOU TO GREENCORE HUI, LLC IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

45. (c) The limitations of liability set forth in this Section apply to the fullest extent permitted by applicable law, regardless of the legal theory on which the claim is based, including contract, tort, negligence, strict liability, or otherwise.

46. (d) Certain jurisdictions do not allow the exclusion or limitation of incidental, consequential, or other categories of damages. In such jurisdictions, GreenCORE Hui, LLC's liability shall be limited to the maximum extent permitted by applicable law. If you are located in such a jurisdiction, some of the limitations above may not apply to you.

K. Indemnification

47. (a) You agree to defend, indemnify, and hold harmless GreenCORE Hui, LLC, its members, managers, officers, employees, contractors, agents, licensors, and successors and assigns (collectively, the "Indemnified Parties") from and against any and all claims, actions, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (i) your use of or access to GreenCORE Hub; (ii) your breach or alleged breach of any provision of these Terms; (iii) your violation of any applicable law, regulation, or third-party right, including any intellectual property or privacy right; or (iv) any User Content submitted, posted, or transmitted through your account.

48. (b) GreenCORE Hui, LLC reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with GreenCORE Hui, LLC in asserting any available defenses. You may not settle any claim subject to indemnification hereunder without the prior written consent of GreenCORE Hui, LLC.

L. Termination

49. (a) GreenCORE Hui, LLC reserves the right, in its sole discretion, to suspend, restrict, or permanently terminate your account and access to the Platform, with or without prior notice, in the event of: (i) any violation of these Terms; (ii) fraudulent, abusive, or otherwise unlawful activity in connection with your use of the Platform; (iii) non-payment of applicable subscription fees; or (iv) any conduct that GreenCORE Hui, LLC reasonably determines to be harmful to the Platform, other users, or the business interests of GreenCORE Hui, LLC.

50. (b) You may terminate your account at any time by canceling your active subscription through your account settings and submitting a written termination request to GreenCORE Hui, LLC at ollie@greencorehui.com.

51. (c) Upon termination or expiration of your account, for any reason, your license to access Platform content is immediately and automatically revoked. You will not be entitled to any refund for any unused portion of a prepaid subscription period following termination.

52. (d) The following Sections shall survive any termination or expiration of these Terms and shall continue in full force and effect: Section 6 (Intellectual Property Rights), Section 9 (Disclaimers of Warranties), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Governing Law and Jurisdiction), Section 14 (Dispute Resolution and Arbitration), and any other provisions that by their nature are intended to survive termination.

M. Governing Law and Jurisdiction

53. (a) These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms or your use of GreenCORE Hub, shall be governed by and construed in accordance with the laws of the State of [Hawaii — placeholder; to be confirmed by legal counsel based on GreenCORE Hui, LLC's state of formation and operations], without regard to its conflict of law provisions.

54. (b) Subject to the arbitration provisions set forth in Section 14, any legal action, suit, or proceeding not subject to arbitration shall be instituted exclusively in the state or federal courts of competent jurisdiction located within the State of North Caolina. Both parties hereby submit to the personal and exclusive jurisdiction of such courts.

55. (c) You hereby irrevocably waive any objection to the laying of venue of any such proceeding in the courts referenced in Section 13(b) and further waive any claim that any such action brought in such courts has been brought in an inconvenient forum.

N. Dispute Resolution and Arbitration

56. (a) Informal Resolution. Before initiating any formal legal proceeding, you and GreenCORE Hui, LLC agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or in connection with these Terms or your use of the Platform informally. The party asserting a dispute shall provide written notice to the other party describing the nature of the dispute and the relief sought. The parties shall have thirty (30) calendar days from the date such notice is received to resolve the dispute through informal negotiation.

57. (b) Binding Arbitration. If a dispute is not resolved through informal negotiation within the thirty (30) day period set forth in Section 14(a), either party may submit the dispute to final and binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its then-current Consumer Arbitration Rules (or Commercial Arbitration Rules, as applicable). The decision of the arbitrator shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.

58. (c) Arbitration proceedings shall be conducted in the English language. The location of arbitration shall be mutually agreed upon by the parties or, failing agreement, conducted virtually through a format determined by the arbitrator.

59. (d) Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND GREENCORE HUI, LLC EACH WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. EACH PARTY AGREES THAT CLAIMS SHALL BE BROUGHT SOLELY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

60. (e) Small Claims Exception. Notwithstanding the foregoing, either party may bring an individual action in a small claims court of competent jurisdiction for disputes that qualify under the applicable jurisdictional limits of such court, without first engaging in informal negotiation or arbitration as described above.

61. (f) The enforceability of this arbitration agreement shall be determined by the AAA or a court of competent jurisdiction, not by an arbitrator. If any portion of this Section is found to be unenforceable, the remaining provisions shall continue in full force and effect.

O. Changes to These Terms

62. (a) GreenCORE Hui, LLC reserves the right to modify, update, or replace these Terms at any time at its sole discretion. Such changes may reflect updates to Platform services, applicable laws and regulations, business practices, or operational requirements.

63. (b) In the event of material changes to these Terms, GreenCORE Hui, LLC will provide notice to registered users via email and/or a prominent notice posted on the Platform at least fourteen (14) days prior to the effective date of such changes.

64. (c) Your continued access to or use of GreenCORE Hub on or after the effective date of any revised Terms constitutes your binding acceptance of such revised Terms. Each version of the Terms will be identified by its effective date, which will appear at the top of this document.

65. (d) If you do not agree to any revised Terms, you must cancel your subscription and discontinue all access to and use of GreenCORE Hub prior to the effective date of the changes. Cancellation requests should be submitted in accordance with Section 4(d) of these Terms.

GreenCORE Hub is a platform owned and operated by GreenCORE Hui, LLC. These Terms of Service constitute the entire agreement between you and GreenCORE Hui, LLC regarding your use of the Platform and supersede all prior and contemporaneous agreements, representations, and understandings between the parties with respect to the subject matter hereof.
